Checklist on Roles of Directors



The director’s role can be summarised as follows:

  • To exercise all reasonable care, diligence and skill as a director.

  • To make sure the financial commitments of the company are met.

  • To help plan the achievement of the goals of the company.

  • To make sure the company business is not carried out in a way to bring disadvantage or loss to creditors and other outside parties.

  • To ensure the company is run to the rules or its constitution.

  • To make sure the requirements of the shareholders are being met.

  • To always act in good faith and in the interest of the company and its shareholders at all times.
